1. ICO Participation
By participating in any initial coin offering (ICO) promoted by Orimatla, the participant confirms that they have reached the required legal minimum age (18 or older) and possess full legal capacity to enter into civil acts. Participation in the ICO is voluntary, and the participant declares that they have read, understood, and accepted Orimatla’s contractual terms.
The participant is responsible for becoming familiar with Orimatla’s information and project details before engaging in the ICO. The contract between Orimatla and the participant is considered valid and legitimate.
2. Whitepaper Updates
The Orimatla team is committed to making reasonable ongoing improvements to ensure the accuracy of information contained in the Whitepaper. During project development, updates may be made to areas such as token mechanics, distribution, and community aspects. Portions of the Whitepaper may be adjusted in future versions.
Changes to the Whitepaper will be published through Orimatla’s official communication channels. It is the contributors' responsibility to stay informed of these updates and adjust their decisions based on the revised content.
3. Limitation of Liability
Orimatla is not liable for losses resulting from contributors’ reliance on information in the Whitepaper, inaccuracies, omissions, or any actions resulting from interpretation of the document.
Although the Orimatla team makes every effort to meet the stated goals, unforeseen events may prevent full project realization. Orimatla is not responsible for delays or failures arising from situations beyond its control, such as natural disasters, large-scale technology failures, or political unrest.
4. Nature of OTL Tokens
OTL tokens are essential for the operation of the Orimatla platform and should not be considered investment products. Holding OTL does not grant any rights of ownership, control, corporate participation, voting, or profit-sharing in Orimatla.
OTL tokens do not fall into the following categories:
1. Fiat currency;
2. Securities;
3. Corporate holdings;
4. Shares, bonds, or any documents granting rights to financial assets.
Any value or digital asset transferred to Orimatla, or used for the acquisition of OTL tokens, will no longer be considered the participant’s property once the transaction is confirmed on the Blockchain or through other transfer authentication means.
Orimatla neither guarantees nor is responsible for any increases or decreases in OTL value and assumes no liability for market fluctuations that may impact its value.
You acknowledge that there is no expectation of profit associated with acquiring OTL tokens, even if they appreciate in value.
5. Compliance with U.S. Securities Laws
OTL tokens are not considered securities under U.S. securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934, as well as other federal or state legislation.
Holding OTL does not grant any rights of ownership, control, voting, or profit-sharing in Orimatla. OTL tokens are utility tokens exclusively for use within the platform and have no investment character.
Additionally, OTL tokens have not been registered with the Securities and Exchange Commission (SEC), as Orimatla does not consider OTL a security under any applicable law. The distribution and sale of OTL comply with relevant local and international regulations.
Participation involving OTL is subject to compliance with the local laws of each jurisdiction. Residents in countries with legal restrictions on purchasing tokens are excluded from participating in the ICO.
6. Associated Risks
6.1. Political Risk
Cryptocurrency and ICO regulations are uncertain in many countries. Government policy changes may result in losses for ICO participants.
6.2. Market Risk
The appreciation or depreciation of digital assets is highly volatile. Contributors should be aware that expectations of appreciation may not be met after token release.
6.3. Systemic Risk
Large-scale events, such as natural disasters, computer network failures, or political instability, may interfere with Orimatla’s development and directly impact project success.
6.4. Regulatory Risk
Digital asset transactions are still largely unregulated, which may result in high price volatility. Participants with limited experience may find it challenging to manage market fluctuations and the psychological stress caused by this instability.
6.5. Technical Risk
Project development is based on emerging technologies, such as Blockchain, which still face technical challenges. Errors or failures may be encountered during project development and impact token usability.
6.6. Hacker Attacks and Criminal Risks
Digital tokens are anonymous and difficult to trace, making them susceptible to hacker attacks and use in illicit activities, such as illegal asset transfers.
6.7. Unknown Risks
Rapid advances in Blockchain technology may introduce unforeseen risks that are not currently known.
You acknowledge and accept all risks associated with acquiring OTL tokens, including but not limited to market volatility, technical failures, cyber attacks, and other unpredictable events.
7. KYC and AML Compliance
Orimatla is committed to regulatory compliance and implements strict Know Your Customer (KYC) and Anti-Money Laundering (AML) policies to ensure that resources obtained on the platform are not used for illicit purposes.
Contributors must provide complete and accurate information to complete KYC and AML verifications. Omission or provision of false information may result in exclusion from participation and confiscation of digital assets.
8. Participation Restrictions
Residents or Green Card holders, domiciled, or citizens of the following countries are NOT permitted to acquire OTL tokens during the ICO: United States of America, Estonia, Canada, Sudan, Syria, Iran, North Korea, and any country whose laws prohibit or conflict with the event.
9. Updates and Communications
The Orimatla team is committed to communicating any project updates through official channels. It is the contributor’s responsibility to stay informed about changes and adjust decisions according to the latest information.
10. Agreement Modification
Orimatla reserves the right to modify this disclaimer or ICO terms at any time. Changes will be published on the company’s official channels and will take effect from the date of publication. Continued use of Orimatla services after such changes implies acceptance of the modifications made.
11. Professional Disclaimer
All information provided by Orimatla is for informational purposes only and should not be construed as legal, financial, or investment advice. We recommend that you seek guidance from qualified professionals before making any decisions related to token acquisition or ICO participation.
12. Disclaimer of Fiduciary Duties
Orimatla has no fiduciary duties to ICO participants, and its obligations are limited to the terms expressly set forth in this disclaimer. Any expectations beyond what is established here will be considered legally invalid.
